The Government of Zimbabwe has set a new deadline for the re-registration of companies and business cooperatives under Statutory Instrument 108 of 2025, which was gazetted earlier this year. This directive forms part of ongoing efforts to align all business entities with the current legal framework governing corporate operations.

The regulation is based on the Companies and Other Business Entities Act [Chapter 24:31], which came into effect in February 2020, replacing the previous Companies Act. Under Section 303(9) of the Act, all entities incorporated under the repealed legislation are required to undergo re-registration. This requirement applies to all forms of business entities operating in Zimbabwe, including local companies, foreign companies, and private business corporations.

According to Statutory Instrument 108 of 2025, affected companies must complete the re-registration process by 20 April 2026, giving them a six-month window to comply. Failure to meet this deadline carries significant legal and commercial consequences. Companies that do not re-register risk automatic de-registration, removal from the official register of companies, and forfeiture of all assets, both movable and immovable, to the State.

Re-registration is not merely an administrative process; it is a statutory obligation essential for companies to maintain their legal standing, preserve their corporate identity, and safeguard their assets. Entities that fail to comply face the risk of being struck off and losing control over their property.

The government has urged all company directors, shareholders, and members of business cooperatives to review their registration status without delay.
